SaaS Terms of Use

This document explains the terms and conditions for using TrialTrack and VendorVigilance (the "Services").
Introduction
Scope
These Terms apply to all users of the Services. Enterprise customers who have executed a separate written agreement with Mayet ("Enterprise Agreement") are also subject to these Terms.
Precedence
Enterprise Agreement terms supersede these Terms where conflicts exist.
Your account
Users must maintain account security, provide accurate information, and update it promptly when changes occur.
Acceptable use
The Services cannot be used to violate laws, infringe intellectual property, transmit malicious code, or gain unauthorized system access.
Our commitment to confidentiality
Mayet treats stored data as confidential. All employees and contractors follow non-disclosure obligations. Data sharing occurs only when legally required or necessary for service provision. Signed confidentiality agreements are available upon request.
Your data
Users retain full ownership of uploaded data. We claim no intellectual property rights over your content. Data deletion requests are processed within 30 days, except where legal retention applies.
Payment and billing
Free plan
The free plan is available indefinitely at no cost. We reserve the right to terminate free accounts after 12 months of inactivity.
Paid plans
Monthly or annual billing through Stripe. User management adjustments apply; downgrades are prorated.
Free trial
The 14-day trial requires no payment method. Paid features require subscription afterward.
Refunds
Full refund within 30 days of first payment. After this period, payments are non-refundable.
Failed payments
Payment retries follow standard processor schedules. Access suspends after 7 days of unsuccessful payment. Accounts and data delete after 30 days without resolution, with multiple administrator notifications.
Price changes
Existing customers will receive at least 90 days' notice before any price increase applies.
Service availability
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted access. Features may be modified, suspended, or discontinued with reasonable notice.
Disclaimer of warranties
Services are provided "as is" without warranties. The platform supports ICH E6(R3), 21 CFR Part 11, and EU Annex 11 compliance, but customers determine suitability for their requirements.
Limitation of liability
Mayet is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
Termination
Users may cease service use anytime. Mayet may suspend or terminate access for term breaches with notice when practicable.
Changes to these terms
Mayet may update terms periodically. Material changes receive notification via email or in-app notice. Continued use indicates acceptance.
Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
